Corporate & Securities

Public and private companies of all sizes across a variety of industries turn to Bass, Berry & Sims for counsel on a wide range of corporate matters, including mergers, acquisitions and dispositions, capital markets transactions, executive compensation issues, corporate governance and shareholder activism. We serve as primary corporate and securities counsel to more than 35 public companies and have assisted many more in a number of high-profile, high-stakes engagements.

Chambers USA researchers have concluded that our corporate team is a “Preeminent group highly recommended for its expertise in big-ticket M&A transactions. Also has a wealth of experience advising on private offerings and shareholder activism issues. Maintains an enviable reputation for its work in major healthcare deals and also highly regarded for its work in the energy, technology, retail and financial services spheres. Additionally, the firm has extensive expertise in advising public companies and their executive boards on sophisticated corporate and securities matters, with further noteworthy expertise in private equity.” (from Chambers USA 2021) During the Chambers research process, one client admired the group saying “The sophistication of the work is certainly very high, and there is a level of attentiveness that I get from them that I don’t get elsewhere.” Another client notes that the team provides “really excellent service,” explaining: “They understand the law, but also what our business needs.” (from Chambers USA 2021) Previous editions of Chambers reported the firm was “very knowledgeable, thorough and very conscious of what we need them to do – and they manage their priorities very well” while another source appreciated that the team “provides a New York level of expertise and skill, but at smaller market rates, which is really valuable.” (from Chambers USA 2020); “Their commitment is second to none” and “They go toe to toe on expertise with New York firms.” (from Chambers USA 2018); and “The firm’s performance was outstanding. I’d put them up there with the big firms globally – some of the finest attorneys I’ve seen.” (from Chambers USA 2015) Chambers ranked us in the highest tier in Corporate/M&A in the state of Tennessee for 19 consecutive years (2003-2021), with 10 of our corporate lawyers receiving individual rankings in 2021.

Our Corporate & Securities attorneys are leaders in industry organizations and have been recognized for their significant contributions to clients and for their accomplishments. One of our partners is a past Chair of the 4,000-member American Bar Association (ABA) Business Law Section Mergers and Acquisitions Committee, and other members of our group have led numerous committees, subcommittees and task forces within the ABA’s Business Law Section.
