Andrea Orr has represented publicly traded companies in mergers and acquisitions valued at more than $11.7 billion and more than $8.8 billion in securities offerings and other corporate transactions. She also routinely advises clients on corporate and securities matters.

Andrea’s practice primarily involves:

  • Corporate Governance – Advising public companies on compliance with federal securities reporting and stock exchange listing requirements; board and committee governance matters; drafting and amending charters, bylaws, committee charters, corporate governance guidelines and stock ownership guidelines; annual shareholder meetings; executive compensation matters; insider trading policies and 10b5-1 trading plans; internal control matters; Regulation FD; shareholder communications and Rule 14a-8 shareholder proposals; and Securities and Exchange Commission (SEC) no action and waiver requests.
  • Mergers and Acquisitions – Representing public and private company clients in various capacities on a wide variety of mergers and acquisitions, both sell-side and buy-side.
  • Securities Offerings – Assisting companies in connection with public and private debt and securities offerings and exchange offers.

Formerly Vice President and Corporate Counsel at HealthSpring, Andrea worked to ensure the company’s compliance with SEC and NYSE rules and regulations.
