Andrea Orr’s practice encompasses a wide range of corporate and transactional matters, including mergers and acquisitions, private equity financings, securities offerings, securities law compliance, and general corporate governance. To date, Andrea has represented clients in corporate transactions valued at more than $21 billion.

Andrea’s practice includes:

  • Mergers and Acquisitions – Advising clients on a variety of public and private strategic transactions, including mergers, acquisitions and divestitures in a variety of industries, including healthcare, manufacturing and technology.
  • Private Equity – Counseling private equity funds and their portfolio companies with respect to a variety of transactions, from initial investments to eventual sale or other exit transaction.
  • Securities Offerings – Assisting companies with public and private debt and securities offerings and exchange offers.
  • Corporate Governance – Representing public companies on a wide range of corporate governance and compliance matters, including SEC periodic reports, proxy statements and other filings; board and committee governance matters; and shareholder proposals.

In her former role as the Vice President and Corporate Counsel at HealthSpring, Andrea advised senior management on strategic transactions and worked to ensure the company’s compliance with SEC and NYSE rules and regulations.
