Brian Sims advises regional and national companies and investors in strategic and complex business transactions, including mergers and acquisitions, minority investments and operational matters. He leads multidisciplinary teams representing clients from a diverse range of industries including manufacturing, technology and healthcare, with particular proficiency advising private equity clients, early stage growth companies, management teams, family-owned businesses and physician practices. A holistic strategist with a deep understanding of his clients’ businesses, Brian partners with his clients and serves as their first call and advisor on day-to-day operations, contractual disputes, and compliance with fiduciary duties.

Brian’s practice includes:

  • Mergers & Acquisitions – Representing both sellers and buyers in a broad range of strategic transactions, including mergers, acquisitions, minority investments, recapitalizations, restructurings and dispositions.
  • Private Equity – Counseling private equity firms and their portfolio companies in structuring and negotiating investments, including leveraged buyouts and sophisticated financing activities.
  • Corporate Governance – Advising investors and management teams, with a particular focus on navigating and developing pragmatic solutions to operational matters, including contract management and “best practices.”
