With more than 20 years of experience, Laura Brothers leverages her experience in capital markets transactions to help clients raise capital through debt and equity markets, or through strategic acquisitions, navigating complicated securities law issues. Of note, her experience includes offerings of an aggregate of $3.85 billion in the last five years alone for one of the leading retailers and distributors of automotive replacement parts and accessories in the Americas and a $3.8 billion merger of two national health insurance providers.
Laura has represented both issuers and underwriters in securities transactions, buyers and sellers in public and private company mergers and acquisitions and special committees of boards of directors in corporate governance matters. Her practice spans industries including healthcare, technology, retail and entertainment, and involves:
- Capital Markets – Advising companies and underwriters in debt and equity transactions, including IPOs, follow-on offerings, and Rule 144A and institutional private placements as well as in transactional matters.
- Mergers & Acquisitions – Representing a variety of public and private companies on a wide variety of transactions, including tender offers.
- Securities Law Compliance – Advising public company clients on preparation of Form 10-Ks, 10-Qs, 8-Ks, proxy statements and earnings releases; compliance with federal securities laws requirements; compliance with stock exchange listing standards and corporate governance guidelines.
- Corporate Governance – Providing clients with advice related to compliance with the Sarbanes-Oxley Act of 2002, the Dodd-Frank Act and other federal securities laws requirements; compliance with stock exchange corporate governance listing standards, committee charters and corporate governance guidelines, board and committee composition issues, internal control and disclosure control matters, Regulation FD, insider trading policies and 10b5-1 trading plans.
In addition to Laura’s work in the firm’s corporate and securities practice, she also chaired the firm’s Women’s Initiative in 2009 and 2010, the Entry-Level Hiring Committee from 2011 to 2013 and also served on the firm’s Diversity Committee.
