During the last two years alone, we have served as counsel in more than 200 buy side and sell side transactions across a variety of industries. In connection with our M&A work, we structure senior and subordinate credit facilities for private equity fund investments and negotiate credit facilities on behalf of sponsors, including acquisition and capital call facilities. Our private equity practice is especially active in the middle-market, but we have represented management groups, issuers and special committees in high-profile, multi-billion dollar transactions—for example, we represented Hospital Corporation of America (HCA) in what at the time was the largest going private transaction in U.S. history.
