Scott Reid focuses his practice on private equity, debt financing transactions, and debt restructurings. He closes billions of dollars of debt financing transactions each year for private equity funds, commercial borrowers, financial institutions, and special situation investors in transactions that include asset-based and cash flow-based financing, project-level financing, acquisition financing, mezzanine financing, and subordinated debt financing. Scott also regularly counsels clients on debt finance compliance and corporate governance matters, intercreditor matters, liability management, workouts and restructurings, and debtor-in-possession financing.

Prior to joining Bass, Berry & Sims, Scott was a debt finance partner at Kirkland & Ellis LLP. His prior experience also includes serving as in-house counsel for an international maritime and logistics company and as an economist for an international consulting firm. From these varied experiences, Scott has developed a holistic perspective that he combines with deep industry knowledge when counseling clients on strategy and compliance matters.

Scott has also advised an urban farm on corporate formation, corporate governance, real estate, public benefit, and 501(c)(3) tax exemption matters on a pro bono basis.

    We represented Havencrest Capital Management, a Dallas-based, private equity fund manager specializing in the healthcare industry, in its acquisition of Tekton, a clinical trial site network with 23 sites across Texas, Colorado, Georgia, Kansas, and Oklahoma. Previous Private Equity Financing Experience

  • Salt Creek Midstream, a midstream partnership between Ares Management, L.P. and ARM Energy Holdings, LLC, in debt and equity financing matters.
  • Salt Creek Midstream, LLC, a midstream development platform controlled by Ares Management, L.P. and ARM Energy Holdings, LLC, in obtaining a $350 million term loan and a $32 million letter of credit facility from Deutsche Bank to fund the acquisition, development and construction of midstream oil and gas assets in the Permian Basin.
  • Beacon Offshore Energy, a Blackstone portfolio company, in connection with the project financing agreements to develop its offshore oil and gas assets.
  • Terra Energy Partners and its sponsors, Warburg Pincus and Kayne Anderson, in connection with a $700 million underwritten reserve-based loan in connection with the acquisition of oil and gas assets from WPX Energy.
  • Salt Creek Midstream in a comprehensive recapitalization, which included additional investments from its existing lender groups and funds managed by Ares Management.

  • Star Peak Energy Transition Corp. (NYSE: STPK), a special purpose acquisition company, on its $1.35 billion business combination with Stem, Inc., a global leader in clean energy storage systems.
  • EIG Global Energy Partners in a $400 million preferred equity investment in NGL Energy Partners LP to finance the acquisition of produced water pipeline transportation and disposal assets from Mesquite Disposals Unlimited, LLC.

  • Private equity / creditor investment fund in connection with a term loan facility and debtor in possession financing facility in the Chapter 11 cases of Furie Operating Alaska, LLC, Cornucopia Oil & Gas Company, LLC, and Corsair Oil & Gas LLC.
