Molly Buchanan counsels private equity and venture capital clients on the structuring, marketing, and management of various product offerings including traditional funds, secondaries offerings, co-investment vehicles, and transfers. She has experience advising funds throughout the entire life cycle, including the process of formation, capital raising, operation and maintenance, governance, and regulation.
Molly regularly works with private equity and venture capital sponsors on the drafting of private placement memoranda, limited partnership agreements, operating agreements, side letters, subscription agreements, transfer agreements, and formation/regulatory filings. She has experience leading negotiations with investors regarding proposed changes to limited partnership agreements, side letters, and transfer agreements.
Prior to joining Bass, Berry & Sims, Molly was an associate at Cooley LLP in its Washington, D.C. office and with Kirkland & Ellis LLP in New York and Washington, D.C. Molly earned a law degree from Georgetown University Law Center and an undergraduate degree in international relations from Duquesne University. During law school, she externed at the U.S. Securities and Exchange Commission and the Office of the Attorney General of the State of New York.
