Primary Care Providers Win Challenge of CMS Interpretation of Enhanced Payment Law

With the help and support of the Tennessee Medical Association, 21 Tennessee physicians of underserved communities joined together and retained Bass, Berry & Sims to file suit against the Centers for Medicare & Medicaid Services to stop improper collection efforts. Healthcare Transactions: Year in Review 2018Last year, CVS Health Corp. (NYSE: CVS) announced it would purchase health insurer Aetna Inc. (NYSE: AET) for $67.5 billion, a transaction that would be one of the biggest healthcare mergers in the past decade. For hospital systems, physician groups, laboratories and other healthcare providers, Lauren Gaffney analyzes and counsels clients on the regulatory requirements and operational impacts related to day-to-day operations and the purchases and sales of healthcare facilities, including those related to fraud and abuse.

Lauren also focuses on internal investigations, which involve responding to governmental inquiries regarding potential regulatory, compliance and clinical issues. She recently represented a hospital involved in a Department of Justice and U.S. Department of Health and Human Services – Office of the Inspector General (HHS-OIG) investigation, resulting in the dismissal of claims brought forth under the False Claims Act (FCA).

By helping the nation's largest children's research hospital obtain a Certificate of Need, Lauren's research and guidance throughout the related proceedings helped her client move closer to its goal of developing the first dedicated pediatric proton therapy facility in the United States.

Specifically, her practice involves:

  • Government Enforcement & Compliance – Representing clients in healthcare fraud matters, including conducting internal investigations and assisting in the defense of whistleblower lawsuits; drafting compliance policies; drafting self-disclosures, including those submitted through the Stark Self-Referral Disclosure Protocol and the OIG self-disclosure process, responding to government inquiries; responding to claims audits and appeals of audit results performed by Recovery Audit Contractors (RACs) and Zone Program Integrity Contractors (ZPICs).
  • Contracting, Regulatory & Operational Matters – Providing guidance on general operational and contracting matters, including fraud and abuse, licensure and other regulatory matters; advising on strategy regarding Accountable Care Organizations (ACOs) from a regulatory and business perspective; and assisting healthcare providers with certificate of need issues.
  • Certificate of Need – Assisting clients in navigating the complexities of Certificate of Need ("CON") requirements in Tennessee; advising clients on CON requirements as they relate to mergers and acquisitions; representing clients before the Tennessee Health Services and Development Agency to obtain CON's and regulatory approvals for the establishment, operation and discontinuance of health care facilities and services.
  • Mergers & Acquisitions – Analyzing potential mergers, acquisitions and joint ventures under the federal Stark law, the Anti-Kickback Statute, state fee splitting, self-referral and corporate practice of medicine laws; conducting due diligence and analysis of joint ventures, mergers and acquisitions from a business and healthcare regulatory perspective.

Recognizing that the landscape of healthcare law is constantly changing, Lauren advises clients on business decisions related to delivering superior patient care, within a heavily regulated industry. Her experience includes former positions as operations counsel intern for Hospital Corporation of America (HCA Inc.) and as an intern for Vanderbilt University Risk and Insurance Management.
