On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Tatjana Paterno has represented public and private companies in M&A transactions valued over $17 billion in the aggregate and securities transactions valued over $2.5 billion in the aggregate. In addition to her M&A and securities practice, Tatjana advises clients on disclosure, executive compensation and governance issues, as well as shareholder proposals and challenges from activist shareholders. Her clients include healthcare, wellness, information technology, manufacturing and senior living companies. She is focused on achieving efficient, practical solutions for her clients.

Tatjana is a frequent speaker on M&A topics and is actively involved in the American Bar Association's (ABA) Mergers & Acquisitions Committee, including editing of the Model Asset Purchase Agreement and co-chairing the Membership Committee. Tatjana is also a member of the working group that compiles the widely-recognized "Deal Points Study," a study of negotiated M&A terms that is published biannually by the ABA Mergers & Acquisitions Committee. 

Tatjana has been recognized as a "Rising Star" by Mid-South Super Lawyers for the past three years. She is fluent in Russian and Estonian.
