Primary Care Providers Win Challenge of CMS Interpretation of Enhanced Payment Law

With the help and support of the Tennessee Medical Association, 21 Tennessee physicians of underserved communities joined together and retained Bass, Berry & Sims to file suit against the Centers for Medicare & Medicaid Services to stop improper collection efforts. Our team, led by David King, was successful in halting efforts to recoup TennCare payments that were used legitimately to expand services in communities that needed them. Read more

Healthcare Transactions: Year in Review 2018Last year, CVS Health Corp. (NYSE: CVS) announced it would purchase health insurer Aetna Inc. (NYSE: AET) for $67.5 billion, a transaction that would be one of the biggest healthcare mergers in the past decade. Tatjana Paterno has represented public and private companies (including private equity backed) in M&A transactions valued over $17 billion in the aggregate and securities transactions valued over $2.5 billion in the aggregate. In addition to her M&A and securities practice, Tatjana advises clients on disclosure, executive compensation and governance issues, as well as shareholder proposals and challenges from activist shareholders. Her clients include healthcare, wellness, food and beverage, information technology, manufacturing and senior living companies. She is focused on achieving efficient, practical solutions for her clients.

Tatjana is a frequent speaker on M&A topics and is actively involved in the American Bar Association's (ABA) Mergers & Acquisitions Committee, including editing of the Model Asset Purchase Agreement and serving as Vice Chair of the Model Private Target Merger Agreement Task Force. Tatjana is also a member of the working group that compiles the widely-recognized "Deal Points Study," a study of negotiated M&A terms that is published biannually by the ABA Mergers & Acquisitions Committee.

Tatjana has been recognized as an "Emerging Leader, Legal Advisor Category" by The M&A Advisor in 2016 and as a "Rising Star" by Mid-South Super Lawyers for the past five years. She is fluent in Russian and Estonian.
