Bass, Berry & Sims attorney Tatjana Paterno co-authored an article with Jessica Pearlman, attorney at K&L Gates, outlining the soon-to-be-released American Bar Association’s (ABA) 2021 Private Target Mergers & Acquisitions Deal Points Study (2021 Study). The 2021 Study is a publication of the Market Trends Subcommittee of the Business Law Section’s M&A Committee. It examines the prevalence of certain contract provisions in publicly available, private target M&A transactions during calendar year 2020 and the first quarter of 2021. The 2021 Study is expected to be released later this year. Tatjana and Jessica serve as co-chairs of the 2021 Study.
For a teaser to the forthcoming publication release, the editors provided some data points related to the impact of COVID-19 and the prevalence of representations and warranties insurance in M&A deals during the 2021 Study time period.
