Bass, Berry & Sims attorney Tatjana Paterno discussed market trends from the 2023 Private M&A Deal Points Study, the preeminent study of M&A transactions, widely utilized by practitioners, investment bankers, corporate development teams, and other advisors compiled by the Business Law Section’s M&A Committee of the American Bar Association (ABA). Tatjana served as co-author of the study alongside Jessica Pearlman, partner at K&L Gates.
As described by the co-authors, “The Private Target Deal Points Study examines the prevalence of certain provisions in publicly available private target M&A transactions during a specified time period. The transactions analyzed in the 2023 Study were in the ‘middle market,’ with purchase prices ranging between $30 million and $750 million.”
The 2023 Study included several new data segments, including:
- Representations and warranties insurance (RWI) correlations.
- #MeToo nuances.
- Fraud carve-outs.
- Breach of covenants as stand-alone indemnity.
