Bass, Berry & Sims counseled Cracker Barrel Old Country Store, Inc. in its four successful defenses against proxy contests initiated by Biglari Holdings Inc. and Sardar Biglari in connection with Cracker Barrel’s 2011, 2012 and 2013 annual meetings of shareholders and 2014 Special Meeting requested Biglari Holdings. We also advised Cracker Barrel with respect to its adoption of a shareholder rights plan in conjunction with the first proxy contest and its subsequent adoption of a replacement rights plan in the face of the additional Biglari share purchases prior to the second contest.
