Business Disputes

Business disputes cause major interruptions in productivity, and must be resolved efficiently and effectively by sophisticated attorneys who can get clients back to work. While we are aggressive litigators, we know that reaching the best outcome for our clients often requires skillful negotiation to avert expensive litigation.

The attorneys in our Business Disputes Practice Group are business lawyers who have extensive experience resolving disputes for clients, local, national and international. We understand the nuances and complexities of our clients’ business. Our work covers a wide range of industries, including the financial, insurance, manufacturing, real estate, retail, service, technology, healthcare, logistical and agricultural sectors.

We routinely handle disputes among owners of corporations, family-owned businesses, closely-held companies, large private companies, limited liability companies, limited partnerships, general partnerships, publicly held corporations and other business entities.

Transactional Disputes, Business Divorces and Business Torts – Our specific experience in transactional disputes, business divorces and business tort cases includes:

  • Breach of contract actions, including prosecution and defense
  • Interference with contracts
  • Interference with business relations
  • Sale of goods governed by the Uniform Commercial Code
  • Shareholder derivative actions
  • Dissolution actions
  • Receiverships
  • Breach of fiduciary duty claims
  • Director and officer liability
  • Misappropriation of trade secrets
  • Breach of restrictive covenants

We have defended and prosecuted these types of business claims seeking money damages and for extraordinary relief, including restraining orders, injunctions, declaratory judgments and contract rescission.

Member Richard R. Spore, III has authored a volume on business divorces for the American Bar Association, The Guide to Business Divorces, published in 2012.

Insurance Coverage and Disputes – Our team regularly handles cases and disputes involving insurance coverage, and a variety of regulatory insurance matters before the state of Tennessee. Frequently, insurance coverage issues arise in the context of a declaratory judgment action, and we have represented both the insurer and the insured in such cases. We also have represented insurance agents and companies in suits involving agency issues such as commission disputes, terminations and claims of breach of covenants not to compete. Our litigators work closely with our corporate and insurance regulation attorneys to draw upon all aspects of the firm’s insurance experience.
