On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. She has significant experience advising clients with respect to healthcare fraud and abuse issues, compliance and operations, managed care, telemedicine initiatives, and health information privacy and security. In addition, Nesrin represents healthcare organizations in mergers, acquisitions and other transactions through her analysis of healthcare compliance issues, billing and reimbursement compliance and other issues impacting transactions.

Her practice involves:

  • Government Enforcement and Compliance – Ensuring clients are in compliance with compliance with healthcare laws (particularly Stark and Anti-Kickback), HIPAA matters, healthcare fraud and abuse issues and healthcare information technology; providing guidance on heightened requirements pursuant to the Health Information Technology for Economic and Clinical Health (HITECH) Act; responding to government investigations related to compliance, healthcare fraud and abuse and federal and state privacy and security matters.
  • Contracting, Regulatory and Operational – Advising clients with respect to operational and regulatory issues, including structuring complex operations to comply with fraud and abuse laws and offering guidance on day-to-day issues including Medicare reimbursement, certification and other regulatory issues.
  • Managed Care – Advising clients on managed care contracting, compliance and operational issues, particularly with respect to Medicare managed care; analyzing pay for performance, care management, disease management and care enhancement arrangements in the managed care space.
  • Health Information Technology – Counseling clients on new regulatory measures and incentives; advising on contracting and operational matters associated with implementation of electronic health record (EHR) systems; assisting clients in navigating the process of complying with federal incentive programs related to health information technology; and advising telehealth companies as well as other providers seeking to leverage telehealth and mobile health to expand access on contracting, corporate practice and regulatory matters.
  • Healthcare Transactions – Analyzing buy-side and sell-side deals for compliance with healthcare regulatory laws, including fraud and abuse and information privacy and security and assessing the operational and regulatory impacts of transactions.
