Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

With more than 30 years of practice, Leigh Walton has advised a wide variety of public companies in the areas of corporate governance, mergers and acquisitions, private equity transactions and securities offerings.

She led the regulatory team for the nation's leading healthcare provider through the largest domestic leveraged buyout in history at the time. More recently she led the legal team in the spinoff of a public hospital company from a public healthcare provider.

Leigh has helped develop the national healthcare practice at Bass, Berry & Sims. She is known for her ability to blend mergers and acquisitions, securities and healthcare law in furnishing practical advice to a broad range of providers.

  • Healthcare Mergers, Acquisitions & Dispositions – Leading acquisitions of hospitals, devising business collaborations among providers, coordinating spinoffs and financing transactions.
  • Healthcare Finance – Coordinating public debt and equity, private placements of securities and private equity investments for issuers, underwriters, sellers and purchasers.
  • Corporate Governance – Advising boards, directors, officers and other executives on governance, disclosure, regulatory and operational concerns; developing innovative responses to the rapidly evolving healthcare regulatory landscape.

Leigh is a past chair of the American Bar Association's Business Law Section Mergers & Acquisitions Committee, which has more than 4,000 members in 40 countries on five continents. She is chair of the Committee's Private Target Merger Agreement Task Force. Leigh is also a member of the Corporate Laws Committee, where she co-chairs the Corporate Director's Guidebook Task Force.

She is a frequent presenter at national health law programs as well as securities regulation and corporate governance lectures including the ABA's Annual Mergers and Acquisitions Institute. Leigh is a member of the Gender Equality Council for the city of Nashville and the YWCA Nashville Fulcrum Society. She also serves on the board of Nashville's independent film organization, the Belcourt Theatre.
