Her transactional experience spans a range of highly regulated and operationally complex industries, including healthcare services and healthcare-adjacent businesses, as well as technology-enabled and services-based platforms. Lara’s background enables her to assess risk holistically and provide commercially grounded advice throughout the deal lifecycle. In healthcare, Lara has significant experience advising companies and investors across a broad range of subsectors, with particular emphasis on three: post-acute care (such as home care, hospice and physical therapy), multi-site providers (such as onsite and near-site care and specialist physician platforms), and healthcare information technology companies. She brings a deep understanding of the regulatory, compliance, and operational considerations unique to healthcare transactions, adding value in diligence, structuring, and post-closing integration. As part of her partnership approach to working with clients, Lara regularly tracks emerging trends and legislation in business critical areas, most recently as part of a team at Bass, Berry & Sims that launched an interactive tool to help healthcare companies understand the state-by-state regulations impacting buy and sell side transactions, including the general framework and filing thresholds of these statutes. In addition to her transactional work, Lara advises clients on operational and regulatory matters that impact growth strategies and exit readiness, including licensure, corporate practice of medicine considerations, and physician employment and affiliation arrangements.
