Our recent work for colleges and universities has involved financings for Vanderbilt University, Rhodes College, Belmont University, Lipscomb University, University of the South (Sewanee) and Trevecca Nazarene University, among others. We also are involved in a significant number of private, K-12 transactions, including deals for The Ensworth School, Montgomery Bell Academy, The Baylor School, Webb School of Knoxville, Memphis University School and St. George’s Independent School, among others.
Coupling public finance experience with our firm’s nationally-recognized healthcare practice, we provide unique insight and effectiveness as bond counsel in healthcare financings for nonprofit hospitals and other healthcare providers throughout Tennessee. We understand these transactions require a greater level of industry-specific knowledge than financings to unregulated borrowers and offer an interdisciplinary and coordinated approach to matters involving nonprofit healthcare finance.
Served as bond counsel to Emerald Academy in connection with a tax exempt bond issue
Bond counsel and borrower counsel to Covenant Health in connection with the issuance of over $600 million in taxable and tax-exempt debt to finance and refinance its healthcare facilities in Tennessee
Served as bond counsel to Ballad Health for a $950 million bond issue to finance new healthcare facilities and refinance certain existing debt
Served as bond counsel in connection with a tax-exempt financing for the Change Center, a nonprofit organization that is constructing a youth recreation center in the inner city of Knoxville
Closed four separate transactions for Covenant Health totaling more than $400 million in new financings and refinancings
Represented Vanderbilt University as bond counsel in the issuance of approximately $140 million in revenue bonds
Represented a private nonprofit borrower in the $11 million bond financing for construction of a 28,000 square foot, 450-seat black box performing arts theater
Served as both bond counsel and underwriter’s counsel for nonprofit colleges and universities
Closed an approximately $108 million refinancing for Mountain States Health Alliance
Closed a $99.6 million financing for the Scott Hamilton Proton Therapy Center, a cancer treatment facility in Franklin, Tennessee
