In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Having represented many of her clients for more than a decade, Angela Humphreys has led complex healthcare transactions valued in excess of $14 billion. She has counseled national healthcare leaders on more than 100 surgery center and dozens of hospital sector and health plan transactions.

As Chair of the Healthcare Practice, Angela leads interdisciplinary teams to provide clients with creative solutions to the operational, regulatory and transactional issues they face while working within an ever-changing, complex regulatory environment. Her clients range from start-ups to publicly traded companies, with the majority being private equity-backed, middle market healthcare companies. Angela provides proactive advice to clients related to emerging and critical healthcare concerns in the hospital, behavioral health, surgery center, urgent care, health plan, life sciences, laboratory, medical device, genomics, pharmaceutical and healthcare information technology sectors, among others.

Angela's practice includes:

  • Healthcare Mergers, Acquisition & Dispositions – Providing counsel in the acquisition and disposition of hospitals and health systems, surgery centers, outpatient service providers, behavioral health facilities, managed care plans and other healthcare companies; and structuring of syndications, joint ventures and strategic investment opportunities.
  • Contracting, Regulatory and Operational Matters - Advising clients on a wide range of operational, physician contracting, governance, disclosure and other regulatory matters.
  • Healthcare Finance – Coordinating financing transactions, including public debt and equity, private placements of securities and private equity investments.

Angela is active in both local and national healthcare organizations. She is currently a Fellow of the Nashville Health Care Council and is a past director of Leadership Health Care. She currently serves as chair of the Health Care M&A Committee and vice chair of the Health Law and Life Sciences Committee of the Business Law Section of the American Bar Association. She is past chair of the Health Care Industries Practice Group of Lex Mundi, the world's leading organization of independent law firms.

Angela also is involved with local community service organizations. She is a director and chair of the board of directors for the American Heart Association Mid-South Chapter and also serves on the board of directors of the Nashville Entrepreneur Center, Tennessee HIMSS, Youth About Business and Nashville Public Radio.
