The federal Corporate Transparency Act (CTA) went into effect on January 1, 2024, with a goal of enhancing transparency of business ownership. It mandates various types of businesses – such as corporations, limited liability companies and limited partnerships operating in the United States – to provide certain information to the U.S. Treasury’s Financial Crimes Enforcement Network (FinCEN).

Private equity (PE) sponsors and their portfolio companies and other affiliates face unique challenges in evaluating the implications of the CTA. They should closely evaluate available exemptions and make preparations to comply with any applicable CTA reporting obligations. Read more here.
