In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Jon Stanley's practice involves a variety of corporate and securities matters, including mergers and acquisitions, securities filings, corporate governance and other strategic issues. Within these fields he serves a broad base of clients, ranging from large private equity firms to founder-owned local businesses. In the last three years, Jon has represented companies in more than $3.6 billion in closed M&A transactions. His practice includes:

  • Mergers & Acquisitions – Representing clients on a variety of public and private change of control transactions, including special committee representation, going private transactions, tender offers and transactions in heavily regulated industries.
  • Public Company Advisory & Corporate Governance – Advising companies on various corporate governance and SEC compliance issues, including periodic filings with the SEC, and matters related to executive compensation and fiduciary duties of board of directors.
