Phil Berg helps healthcare providers and companies navigate transactions, compliance issues and operational contracts. He has significant experience working with physician practice management companies, hospitals, ambulatory surgery centers, joint ventures, medical practices and other healthcare companies. Phil has represented some of the largest management services organization (MSO) companies in the country, as well as start-ups, on issues including acquisitions, operational issues and complex regulatory analysis.

His practice involves:

  • Practice Management Companies – Providing corporate practice of medicine analysis, and other regulatory and corporate guidance, for practice management companies in multiple industries including dermatology, oncology, behavioral health, hospitalist and dental services.
  • Transactions – Representing companies in acquisitions of physician practices by national management companies, mergers of hospital companies, and joint ventures with physicians and healthcare companies.
  • Complex Regulatory Analysis – Providing analysis of Federal Stark law issues, Federal Anti-Kickback Statute issues, state laws, licensure and other healthcare issues that may impact deals, contracts and compliance.
  • Operational Contracts – Drafting physician employment agreements, laboratory agreements and complex multi-facility service line agreements with national vendors.
