David Venturella advises publicly traded and privately held companies, as well as private equity firms, in a wide variety of matters and across a broad range of industries, including healthcare, technology, restaurant and foodservice, and hospitality. He has closed more than $4 billion in M&A transactions in the last five years and advised on more than $5.6 billion in capital markets transactions.
David’s practice involves the following:
- Mergers & Acquisitions – Advising public and private companies, and private equity firms, on acquisitions and divestitures, including complex, international and multi-jurisdictional transactions.
- Corporate Governance – Counseling on general corporate and governance matters, including securities laws compliance, fiduciary duties, shareholder activism defense and public company disclosure.
- Securities Transactions – Representing issuers in capital markets transactions involving debt and equity markets, including private placements of convertible notes and other debt securities, registered underwritten public offerings, accelerated tender offers and “at-the-market” offerings.
- Joint Venture Formation – Advising strategic investors in connection with joint venture formation transactions.
David earned his law degree from the University of Tennessee College of Law and a B.A. in history from East Tennessee State University.
