Bass, Berry & Sims attorney Tatjana Paterno will be speaking in an upcoming webinar hosted by the American Bar Association (ABA) on October 8, 2020 from 1:00 PM – 2:30 PM EST. Her session, “Know Your Delaware Precedent: Key Issues in M&A,” will highlight topics under Delaware law for M&A practitioners. Topics to include directors’ fiduciary duties in connection with the sale of a company under Delaware law, material adverse effect or “MAE” clauses, “best efforts” requirements, earn-outs, sandbagging, fraud carve-outs, non-reliance clauses, appraisal rights and more. Relevant data from the ABA 2019 Private Target Mergers Acquisitions Deal Point study will also be included. Tatjana served as co-chair for the study, which is the preeminent study of M&A transactions, widely utilized by practitioners, investment bankers, corporate development teams, and other advisors.
