Bass, Berry & Sims attorney Tatjana Paterno will speak at the North Carolina Bar Associations’ 2021 Business Law Section Program, “The Business Lawyer as First Responder,” on the topic of “Delaware Law Traps for M&A Practitioners.” Tatjana and co-presenters,  Jessica C. Pearlman (K&L Gates – Seattle, WA) and Lisa R. Stark (K&L Gates – Wilmington, DE), will discuss the hottest topics under Delaware law for M&A Practitioners, including directors’ fiduciary duties in connection with the sale of a company under Delaware law, material adverse effect or “MAE” clauses, “best efforts” requirements, earn-outs, sandbagging, fraud carve-outs, non-reliance clauses, appraisal rights, among others.
