We represented hotel investors in the purchase of the Downtown Indigo Hotel in Nashville, TN out of bankruptcy, which involved drafting the purchase agreement utilized in the court approval process, counseling and working through a number of title issues and negotiating the lease agreement with a tenant in the building housing the hotel. We also led the negotiation and closing of the follow on refinancing of the hotel and its renovation with a $12 million term loan and additional mezzanine loan.  Our engagement included negotiating the LLC Agreement with a joint venture partner, structuring the entity reorganization to facilitate resolution of intercreditor issues and working with the mezzanine lender’s counsel to resolve license and comfort letter issues.
