In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Andrea Orr has represented publicly traded companies in mergers and acquisitions valued at more than $7.4 billion and more than $5.8 billion in securities offerings and other corporate transactions. She also routinely advises clients on corporate and securities matters, primarily large public companies in the retail, healthcare and manufacturing industries.

Andrea's practice primarily involves:

  • Corporate Governance – Advising public companies on compliance with federal securities reporting and stock exchange listing requirements; board and committee governance matters; drafting and amending charters, bylaws, committee charters, corporate governance guidelines and stock ownership guidelines; annual shareholder meetings; executive compensation matters; insider trading policies and 10b5-1 trading plans; internal control matters; Regulation FD; shareholder communications and Rule 14a-8 shareholder proposals; and Securities and Exchange Commission (SEC) no action and waiver requests.
  • Mergers and Acquisitions – Representing public and private company clients in various capacities on a wide variety of mergers and acquisitions, both sell-side and buy-side. 
  • Securities Offerings – Assisting companies in connection with public and private debt and securities offerings and exchange offers.

Formerly Vice President and Corporate Counsel at HealthSpring, Andrea Orr worked to ensure the company’s compliance with SEC and NYSE rules and regulations.
