Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Andrea Orr has represented publicly traded companies in mergers and acquisitions valued at more than $11.7 billion and more than $8.8 billion in securities offerings and other corporate transactions. She also routinely advises clients on corporate and securities matters, primarily large public companies in the retail, healthcare and manufacturing industries.

Andrea's practice primarily involves:

  • Corporate Governance – Advising public companies on compliance with federal securities reporting and stock exchange listing requirements; board and committee governance matters; drafting and amending charters, bylaws, committee charters, corporate governance guidelines and stock ownership guidelines; annual shareholder meetings; executive compensation matters; insider trading policies and 10b5-1 trading plans; internal control matters; Regulation FD; shareholder communications and Rule 14a-8 shareholder proposals; and Securities and Exchange Commission (SEC) no action and waiver requests.
  • Mergers and Acquisitions – Representing public and private company clients in various capacities on a wide variety of mergers and acquisitions, both sell-side and buy-side. 
  • Securities Offerings – Assisting companies in connection with public and private debt and securities offerings and exchange offers.

Formerly Vice President and Corporate Counsel at HealthSpring, Andrea worked to ensure the company's compliance with SEC and NYSE rules and regulations.
