Katy Presson advises clients on compliance with U.S. Securities and Exchange Commission (SEC) regulations, including reporting, disclosure requirements and corporate governance best practices. In this capacity, she works closely with company leadership, in-house counsel, and boards of directors to ensure compliance with regulatory requirements. Katy’s practice routinely involves the representation of public companies on:
- Registration statements, annual reports, proxy statements and other SEC filings to ensure accuracy and regulatory compliance.
- Reviewing transaction documents in connection with complex M&A transactions.
- Capital markets transactions, including initial public offerings, follow-on offerings, exchange offers, private placements and Rule 144A transactions.
- Drafting various corporate governance documents including, board resolutions, related person transaction policies, securities trading policies, director and officer questionnaires and committee charters.
- Reporting and disclosure obligations, including the review and preparation of Forms 10-K, 10-Q and 8-K and proxy statements.
- Compliance with stock exchange rules, including the NYSE and the Nasdaq stock markets.
Prior to joining Bass, Berry & Sims, Katy was an associate at various law firms, including Kirkland & Ellis LLP and Sidley Austin LLP in Chicago, Illinois, and Baker, Donelson, Bearman, Caldwell & Berkowitz, PC in Memphis, Tennessee. Katy earned a law degree from Northwestern University Pritzker School of Law and an undergraduate degree in communication from the University of California, Santa Barbara.
