We provided regulatory counsel to Cardinal Health Specialty Solutions in its acquisition of RainTree Oncology Services, a large independent group purchasing organization for oncology practices and clinics. Our representation included, conducting a preliminary diligence report to identify the target’s compliance issues; evaluating the effects of the acquisition on business operations (i.e. funds flow analysis); and leading a regulatory review to understand the effects of the acquisition on operation matters (i.e. physician compensation arrangements).
