Todd Rolapp is a Member in the Corporate and Securities Practice Area and the Executive Compensation Group at Bass, Berry & Sims. His practice includes general corporate and securities law, including the representation of issuers, underwriters and investors in public and private securities offerings and the representation of both public and private buyers and sellers in merger and acquisition transactions. In addition to transactional matters, Todd represents early stage, pre-public and public companies on an on-going basis and in a variety of matters, including formation, financing, corporate governance and SEC reporting.
As head of the firm's Executive Compensation Group, he regularly advises clients on aspects of equity-based compensation arrangements, corporate governance relating to compensation and compensation committees, employment agreements, compensation issues in mergers and acquisitions, director compensation and retention and non-competition agreements. He also focuses on all issues relating to the disclosure of compensation arrangements under the federal securities laws, including under proxy, Section 16 and '34 Act rules.
Todd graduated from Brigham Young University in 1991 with a B.A. in English and received his law degree in 1994 from the Duke University School of Law, where he was the recipient of the James S. Bidlake Memorial Award for Excellence in Legal Research and Writing. He currently serves on the Advisory Committee for TheCorporateCounsel.net and is a member of The National Association of Stock Plan Professionals. Todd has been named one of the leading corporate lawyers in Tennessee by Chambers USA since 2005.
Todd and his wife, Heather, have two children, Richard and Megan.
