Sam Stumpf joined Bass, Berry & Sims PLC in 1983. Sam practices in the corporate and securities area with an emphasis on mergers and acquisitions, venture capital and transactional aspects of intellectual property.
Representative Matters:
- Representation of numerous clients in mergers and acquisitions transactions, involving businesses in the healthcare, media, manufacturing, financial services and hospitality industries.
- Representation of venture capital firms and start-up and emerging companies in numerous venture capital transactions.
- Representation of numerous franchisees and franchisors in connection with the establishment of franchise relationships, franchise registration and dispute resolution.
- Representation of investment managers in the formation of hedge funds and other investment partnerships and investment advisers and broker-dealers in a variety of registration and compliance matters.
He received a B.A. degree, magna cum laude, from Yale University in 1972 and his law degree from Vanderbilt University in 1978. At Vanderbilt, Sam was a member of the Order of the Coif, a Patrick Wilson Scholar in Law, the recipient of the Archie B. Martin Memorial Medal and executive articles editor of the Vanderbilt Law Review . From 1978 to 1980, Sam practiced law with King & Spalding in Atlanta, Georgia, and from 1980 to 1983, he served on the faculty of the School of Law at Washington & Lee University. He is listed in The Best Lawyers in America®.
Sam has served as an adjunct professor at Vanderbilt Law School and an instructor at continuing legal education seminars on corporate and securities law. He is former chair of the Business Law Section of the Tennessee Bar Association and has chaired the board of trustees of Watkins College of Art and Design since 1999.
