Scott Holley joined Bass, Berry & Sims PLC in 1998 and practices in the firm's Corporate and Securities Practice Area. Scott's practice includes the representation of financial institutions, issuers and underwriters in public and private equity and debt offerings, and both public and private acquirors and targets in mergers and acquisitions. He also counsels clients on a variety of other corporate and securities matters, including corporate governance, Sarbanes-Oxley Act compliance, public company disclosure, Section 16 issues, insider trading and defensive measures.

- Serving as principal corporate and securities counsel for publicly-traded companies including financial institutions.
- Representing public and private companies in merger transactions involving common stock of publicly held acquirors.
- Representing public companies in going private transactions.
- Representing community bank clients in mergers with regional bank holding companies.
- Advising the boards of directors of financial institutions concerning director liability and bank agency enforcement issues.
- Advising publicly-traded companies on corporate governance related matters.
- Serving as insurer’s or underwriters' counsel in initial public offerings, follow-on offerings and shelf takedowns of various types of debt and equity securities.
A native of Chattanooga, Tennessee, Scott graduated magna cum laude from Texas Christian University with a B.S. in advertising and public relations and summa cum laude from the University of Tennessee College of Law. At UT, he was the Harold C. Warner Scholar and was elected to the Order of the Coif. Scott is recognized for his work by Mid-South Super Lawyers and Best Lawyers®.
