Stephen is an associate in the firm’s Corporate and Securities Practice. His practice focuses on the representation of public and private companies in a variety of capacities, including transactional, corporate governance and securities matters.
Representative matters and experience:
- Representing publicly-traded and private clients in numerous acquisitions and divestitures ranging in value from $500,000 to $260 million per transaction.
- Providing a broad range of corporate legal services for public and private company clients, including drafting, updating and reviewing a variety of company contracts, corporate governance documents, and purchase and sale agreements.
- Advising company clients on a variety of corporate governance matters, including compliance with federal and state securities law requirements and compliance with stock exchange listing standards.
- Advising public company clients in connection with their preparation of SEC disclosure documents including Forms 10-K, 10-Q, 8-K and proxy statements.
Stephen received his law degree summa cum laude from The University of Tennessee College of Law, was elected to the Order of the Coif and the Order of Barristers and was awarded the Frank Benson Creekmore Memorial Award, based on future promise for professional success as a practitioner of law in Tennessee. While in law school, he was a staff member on Transactions: The Tennessee Journal of Business Law and received the Susan B. Devitt National Moot Court Award for Outstanding Writing and Oral Advocacy.
Stephen earned a Masters of Accountancy and a B.S. in Business Administration – Accounting from the University of Tennessee. He has worked for PricewaterhouseCoopers, LLC, Ernst & Young, LLP and Lattimore, Black, Morgan & Cain, PC as a certified public accountant in assurance.
