Susan Foxman is a Member in the firm's Nashville office. She practices primarily in the areas of commercial lending, secured transactions, commercial real estate and general commercial law with particular emphasis on matters affecting clients operating long-term care and senior living facilities. Since joining the firm, Susan has devoted the majority of her professional time to the negotiation and documentation of a variety of commercial lending and real estate transactions, including project financings, revolving credit and term loan facilities, construction loans, corporate financings, sale-leaseback transactions, and commercial real estate acquisitions and dispositions.

Financing Transactions: Susan routinely represents borrowers (both public and private entities) in real estate and asset based secured corporate financings. Representative matters include representation of public and private company borrowers in large and mid-size corporate financings structured as:
  • Syndicated senior secured revolving credit and term loan facilities
  • Letter of credit facilities
  • Project financings
  • Nonrecourse financing

Real Estate: Susan represents purchasers, developers, owners, lessors and lessees in a variety of real estate matters, both locally and nationally. Susan also has significant experience negotiating historical, agricultural and open-space conservation easements. Representative matters include:
  • Providers of healthcare services in connection with acquisition and leasing of hospitals, senior living facilities, ambulatory surgery centers and other medical facilities throughout the United States
  • Sellers and purchasers in the sale and purchase of commercial real estate 
  • Creditors and borrowers as local counsel in numerous multi-state commercial lending and real estate transactions
  • Private landowners in numerous conservation easements preserving over 1,000 acres of historical, agricultural and open-space lands in Tennessee

Long-Term Care and Senior Living: Susan represents owners and operators of Independent Living Facilities, Assisted Living Facilities, Skilled Nursing Facilities and CCRCs in connection with development projects, acquisitions, dispositions, project financing, letter of credit facilities, construction financing, sale-leasebacks, leases and management agreements. Susan has extensive experience representing senior living owners and operators in both single facility and multi-facility, multi-state project financings funded by institutional lenders, insurance companies, REITs, Fannie Mae and Freddie Mac. Representative matters include:
  • More than $1.5 billion of project financings for a publicly traded owner/operator of senior living communities
  • A $100 million construction financing for a newly developed entrance fee CCRC
  • Multi-state, multi-community acquisitions, financings and sale-leaseback transactions
  • Corporate restructurings to accommodate special purpose entity and holding company underwriting requirements

Originally from Shaker Heights, Ohio, Susan graduated magna cum laude from the University of Michigan in 1991 and then received her M.A. in physical anthropology from Washington University in St. Louis in 1994. She received her law degree from the University of Michigan in December 1998.

Away from the office, Susan spends time camping, hiking and looking for fossils and other interesting rocks with her husband and two daughters.
