Price Wilson joined Bass, Berry & Sims PLC in 2007 and practices in the firm's Corporate and Securities Practice Area. He counsels clients on a variety of corporate and securities matters, including corporate governance, Sarbanes-Oxley Act compliance, public company disclosure, Section 16 issues and current reporting.
Price also focuses his practice on the representation of public and private companies in mergers and acquisitions, the creation of joint ventures, public debt and equity offerings and private placements of securities. Additionally, Price focuses on the representation of local financial institutions.
Representative Experience:
- Representation of a national managed healthcare company since 2007 in acquisition and disposition transactions with an aggregate value in excess over $1.3 billion and financing transactions with an aggregate value of $800 million;
- Representation of the shareholders in the sale of a private electric supply company with a value of approximately $50 million;
- Representation of a publicly traded bank in a public offering of common stock with a value of approximately $100 million;
- Representation of a distributor in asset purchases of beer distribution rights with an aggregate value in excess of $50 million; and
- Representation of a private equity firm with investments in various start-up companies.
Price is originally from Atlanta, Georgia and practiced in New Orleans, Louisiana prior to 2006. Price received his B.A. with a double major in history and economics from Vanderbilt University in 2001. He graduated cum laude from the Southern Methodist University Dedman School of Law in 2004, where he was associate managing editor of the International Law Review Association.
