Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

In an article published by the National Real Estate Investor, Bass, Berry & Sims attorney Michael Gibson provided insight on key negotiation considerations in a triple net lease related to a tenant's ability to assign or sublet a lease without a landlord's consent. While the tenant may be primarily concerned with flexibility, the landlord's interest is in ensuring that the sublease goes to a creditworthy and experienced tenant who values the property for their business needs. "Negotiation of a lease agreement may fail if adequate flexibility of a tenant to assign or sublet a lease cannot be agreed to by the parties, so some flexibility is needed by both parties in any lease negotiation," said Michael.
