In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Welcome to the 2014 issue of Bass, Berry & Sims' Year-End Review of Securities and Shareholder Litigation.

This survey examines trends and developments in securities and shareholder litigation during 2014, with a focus on developments in the law governing corporate directors’ exercise of their fiduciary duties, particularly as they pertain to the adoption of bylaws and corporate change of control.

2014 was another busy and successful year for Bass, Berry & Sims' Securities and Shareholder Litigation Group. Our team spent the year defending lawsuits challenging mergers and other corporate control transactions, derivative litigation asserting breaches of fiduciary duty by directors, and class action lawsuits brought under federal and state securities laws, as well as ERISA.
