In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

ACC Publishes "Managing Foreign Subsidiaries" Guide Co-Authored by Bass, Berry Attorneys

Bass, Berry & Sims is pleased to announce that the Association of Corporate Counsel (ACC) in cooperation with Lex Mundi, the world's leading international association of independent law firms, has published a 44-page InfoPAK guide for in-house counsel and business leaders entitled, "Managing Foreign Subsidiaries," authored by Bass, Berry & Sims attorneys Wally Dietz and Taylor Phillips and ACC international Legal Affairs Committee Vice Chair and CSCI general counsel Brett Coffee.

The InfoPak concisely addresses a number of common legal and compliance issues that arise for companies engaged in international business or considering establishing a foreign subsidiary. The guide also includes links to a number of on-line resources and forms.
