Public Finance

Listed in the "Red Book" of recognized bond counsel for over 40 years, the Public Finance Practice at Bass, Berry & Sims PLC includes eight attorneys who devote their practice efforts to municipal finance activities. The firm has served as bond counsel for issues in all 95 Tennessee counties and consistently ranks in the top five in the Southeast and in the top 50 nationally in The Bond Buyer's annual rankings of bond counsel by principal amount of bonds issued. In addition to bond counsel work, the public finance attorneys regularly represent underwriters, conduit borrowers, credit enhancers, trustees and other participants in public finance transactions. Members of the public finance group are active in the National Association of Bond Lawyers (NABL), with one member having served as chair of all of NABL's primary seminars - the Bond Attorneys’ Workshop, the Tax and Securities Law Institute, and the Fundamentals of Municipal Bond Law Seminar. Our Public Finance Practice regularly assists the Tennessee Comptroller’s office and members of the Tennessee General Assembly in the development of policies and legislation.

Our Public Finance Practice has extensive experience in the following areas:
  • General obligation and revenue bonds for counties, cities, utility districts and other governmental authorities financing traditional governmental facilities and utility infrastructure, as well as airports, tourism and sports facilities, prepayments for natural gas and other less traditional projects
  • 501(c)(3) bonds for hospital systems, universities, independent schools, museums and other nonprofit entities
  • Multi-family housing bonds
  • Other types of private activity bonds, including manufacturing facilities and airports
  • Economic incentives, including tax abatement, tax increment financing and special assessment bonds
  • Taxable and tax credit bonds authorized or enhanced under the American Recovery and Reinvestment Act of 2009, including build America bonds, recovery zone economic development bonds, QZABs and QSCBs
  • Internal Revenue Service examinations of bond issues
  • Interest rate swaps and other derivatives associated with municipal finance
