On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Oscar Thomas has more than 20 years of experience guiding companies at varying stages within the business life cycle, from start-ups to publicly traded companies. He provides advice related to complex transactions, including M&A deals, equity and debt offerings, joint ventures and strategic alliances, and intellectual property licensing. In his previous eight-year role as Vice President, Business Affairs of a medical device manufacturer, he closed financings totaling more than $50 million and he oversaw the process to take the company public in 2012. Drawing from his diverse in-house experience, Oscar provides clients with a holistic perspective on the broad spectrum of business and legal issues essential to their business.

  • SEC Reporting – Advising public companies on securities law compliance and reporting obligations, as well as advising on governance issues.
  • Commercial Transactions – Advising clients on joint ventures and other complex commercial and licensing transactions.
