In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Oscar Thomas has more than 20 years of experience guiding companies at varying stages within the business life cycle, from start-ups to publicly traded companies. He provides advice related to complex transactions, including M&A deals, equity and debt offerings, joint ventures and strategic alliances, and intellectual property licensing. In his previous eight-year role as Vice President, Business Affairs of a medical device manufacturer, he closed financings totaling more than $50 million and he oversaw the process to take the company public in 2012. Drawing from his diverse in-house experience, Oscar provides clients with a holistic perspective on the broad spectrum of business and legal issues essential to their business.

  • SEC Reporting – Advising public companies on securities law compliance and reporting obligations, as well as advising on governance issues.
