In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

John Stemmler represents entrepreneurs in acquiring, disposing of and financing investments in hotels, multi-family communities, office buildings, single-family developments, retail shopping centers, warehouse and multipurpose real estate projects and a variety of other operating businesses. In 2012 and 2013, John completed the purchase of ten apartment communities valued at nearly $655 million, dispositions valued at nearly $490 million and financings of nearly $3 billion. John also counsels clients on commercial transactions and real estate investments as well as a range of corporate and securities matters.

Practicing with the belief that his clients' problems are his problems, John works as a trusted advisor, helping business owners, real estate investors and entrepreneurs realize, promote and nurture their significant business investments.

  • Corporate Finance – Representing borrowers in multi-property, multi-state hotel and multifamily financings; assisting in negotiations of unsecured revolving and term loans, and license and franchise agreements with national hotel franchisors and licensors.
  • Mergers & Acquisitions – Advising clients, including REITs, in the areas of mergers and acquisitions, commercial and residential real estate development, and commercial lending; counseling clients in connection with their start-up and privately-held companies and business investments and mergers, acquisitions and dispositions of various businesses.
  • Real Estate – With an emphasis in the hospitality and multifamily industries, counseling various limited partnerships, limited liability companies and corporations in connection with the acquisition, construction and sale of hotel and multifamily properties, including the representation of such entities in negotiations of credit facilities with national financial institutions and lenders; negotiating leases for commercial office space and representing commercial and residential real estate developers in development transactions and negotiations with institutional lenders. 

In his more than 40 year career, John has earned top honors for his work in real estate and commercial law, including by Chambers USA. In the latest edition of Chambers USA, researchers noted John "is widely regarded as 'an outstanding real estate lawyer.' He represents REITs and large corporations in major acquisitions and also adeptly advises on financing matters and leasings.
