On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Amanda Elliott Stanley advises clients in commercial lending, secured transactions and real estate matters and has been actively involved in transactions totaling more than $1 billion in the last 12 months. With an emphasis on middle market commercial finance transactions, Amanda represents both borrowers and lenders. Much of her lending work involves bank representation in multi-million dollar loans to healthcare companies, many of which have equity investors that guide the direction of the transaction.

Partnering with clients throughout the loan financing process, Amanda works to identify the unique aspects of her clients' business interests, tailoring the financing to address those objectives.

Partnering with clients throughout the loan financing process, Amanda works to identify the unique aspects of her clients' business interests, tailoring the financing to address those objectives. Her practice involves:

  • Representing agent banks and lenders in revolving credit and term loan facilities to both public and private companies in a variety of industries.
  • Advising a variety of borrowers (both public and private entities) in corporate financings, including syndicated senior revolving credit and term loan facilities, both secured and unsecured, and real estate financings.
  • Representing mezzanine lenders in subordinated loan transactions, including structuring equity participations and intercreditor arrangements with senior lenders.
  • Serving as local counsel in numerous multi-state commercial lending and real estate transactions.

In addition to her commercial lending focus, Amanda also collaborates with the Corporate and Business Practice Group on deals that involve complex financing arrangements. Her experience includes the representation of corporate clients in financings and restructurings, some of which include arrangements with foreign lenders.

Prior to joining Bass Berry & Sims, Amanda practiced at Paul Hastings LLP in Washington, D.C. and Atlanta.
