Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

John has significant experience with senior syndicated loan facilities, representing both agent banks and borrowers, intercreditor issues involving senior and subordinated debt and real estate transactions involving mixed-use condominium regimes.

John's practice involves:

  • Commercial Finance – Acting as counsel to borrowers and financial institutions in large corporate financings, including syndicated senior revolving credit and term loan facilities, in a variety of industries, with an emphasis on healthcare and healthcare-related companies; representing mezzanine lenders in subordinated loan transactions, including structuring equity participations and intercreditor arrangements with senior lenders; representing borrowers and financial institutions in asset-based and construction loan facilities; counseling financial institutions in troubled loan transactions.
  • Real Estate – Representing local, regional and national clients on the selling and buying of real estate, including zoning and planning matters; representing real estate developers on a variety of office, hotel, retail and residential condominium projects; advising landlords and tenants in commercial lease negotiations.
  • Corporate & Securities Transactions – Representing companies in the negotiation and preparation of general commercial agreements.

Prior to launching his legal career, John completed seven years of service as an officer in the United States Army, graduating from the United States Army Flight School. He served with the 2nd Infantry Division, Camp Stanley, Korea; the 101st Airborne Division (Air Assault), Fort Campbell, Kentucky; and the 3rd Infantry Division, Hunter Army Airfield, Georgia.
