Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Managing Director – Intellectual Property, Labor & Employment, and Public Finance

Sarah Philpot is the Managing Director for the Intellectual Property, Labor & Employment, and Public Finance Practice Groups at Bass, Berry & Sims. In her role, Sarah works closely with the practice chairs and attorneys on overall practice group management and business development strategy. Prior to assuming this position, Sarah was the Practice & Business Development Manager and Marketing & Business Development Coordinator with the firm's Litigation & Dispute Resolution Practice Group.

Sarah is a member of the firm's Pro Bono Committee and the Nashville Chapter of the Legal Marketing Association. Prior to joining Bass, Berry & Sims, Sarah worked in sales for two leading technology companies. Her experience includes managing a large team of sales representatives, forecasting revenue performance to company leadership and external clients, and leading sales coaching programs. She earned a M.B.A. in marketing and a B.S. in journalism from Middle Tennessee State University.
