Frank Pellegrino advises public and private companies in a broad range of transactional, corporate governance, shareholder activism and securities matters. Over the course of his career, he has completed more than $25.0 billion worth of mergers and acquisitions for public and private companies and represented issuers in public and private debt and equity offerings worth over $3.0 billion.

Frank's practice includes the representation of both public and private clients in public and private equity and debt offerings, and acquirors and targets in mergers and acquisitions. He also counsels clients on a variety of securities law, corporate governance and public company disclosure matters.

  • Mergers & Acquisitions – Representing public and private companies and private equity clients on a wide variety of transactions.
  • Shareholder Activism – Advising clients on takeover defense, proxy contests, responding to shareholder proposals, shareholder rights plans, contested director elections, classified boards, advance notice bylaws, Rule 14a-8 shareholder proposals, ISS and other proxy advisory firm-related matters, and Section 13 of The Securities Exchange Act.
  • Corporate Finance – Assisting clients in connection with public offerings, Rule 144A offerings, private placements and venture capital investments.
  • Corporate Governance – Advising public company clients on securities law reporting, including the preparation of Form 10-Ks, 10-Qs, 8-Ks, proxy statements and earnings releases, and regulatory compliance and public company disclosure.

Frank recognizes his clients' struggles between regulatory risk and economic reward and helps them navigate the often-complex compliance issues related to their industries.
