On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Cheryl Palmeri advises public and private companies on best practices in international trade compliance. She counsels clients on legal issues, conducts internal investigations, and defends against enforcement actions related to anti-corruption laws, export and import controls, sanctions regulations and other international trade laws. Cheryl handles matters for companies with international operations across a range of industries, including aerospace, technology, energy, automotive, financial services, manufacturing and retail. She also helps companies establish and update programs to respond to their continually evolving international trade compliance obligations. Among other legal regimes, she advises on the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), U.S. sanctions and embargoes, customs laws and the Foreign Corrupt Practices Act (FCPA). Cheryl has represented clients before various government bodies, including the U.S. State Department's Directorate of Defense Trade Controls (DDTC), the Commerce Department's Bureau of Industry and Security (BIS), the Department of Justice (DOJ), Securities and Exchange Commission (SEC), Department of the Treasury's Office of Foreign Assets Control (OFAC) and the Committee on Foreign Investment in the United States (CFIUS).

Cheryl's practice includes:

  • International Trade – Counseling clients on compliance processes and procedures, and the development and implementation of training programs related to export controls, economic sanctions and embargoes, anti-bribery laws, anti-boycott controls, customs and other import controls, and anti-money laundering regulations.
  • Compliance & Government Investigations – Conducting internal investigations, advising clients on due diligence, and representing clients in government investigations and enforcement actions involving international activities.

Prior to beginning her legal practice, Cheryl served as a judicial intern for the Honorable Stephen H. Glickman of the District of Columbia Court of Appeals.
