Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Tracy Paden is the Managing Director for the Real Estate & Finance Practice Group and of Legal Project Management at Bass, Berry & Sims. In this dual role, Tracy works closely with firm management on various business development and client experience initiatives. As the Managing Director for the Real Estate & Finance Practice Group, she works with the practice chair on overall practice group management with a focus on client service, growth, and attorney development and retention. In her capacity as Managing Director of Legal Project Management, Tracy leads the development and implementation of project management and process improvement initiatives across the firm as it relates to meeting clients' goals for efficiency, predictability and excellent service. 

Having spent her entire career in the professional services marketing field, Tracy understands how to best bring value and make an impact in this setting. Tracy started her career in the legal industry at Boult, Cummings, Conners & Berry, PLC (now Bradley Arant Boult Cummings LLP), eventually serving as Chief Marketing Officer. She also worked as a marketing manager for Pillsbury Winthrop LLP (now Pillsbury Winthrop Shaw Pittman LLP) in New York City; and ran an independent consulting practice providing marketing and business development strategy and implementation services to professional services businesses with a particular focus on the legal profession. Immediately prior to joining Bass, Berry & Sims, Tracy served as the Director of Marketing for Avondale Partners, a Nashville-based boutique investment banking firm.

Tracy has a White Belt Certification in Legal Lean Sigma and Project Management. She is a member of the Legal Marketing Association and a past board member of the Nashville Chapter of the American Marketing Association. She recently completed a six-year term on the board of Our Kids, a nonprofit organization providing expert medical evaluations and crisis counseling services in response to concerns of child sexual abuse across Middle Tennessee. She received her B.S. in public relations and marketing from Middle Tennessee State University.
