In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast.

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Bill Ozier's more than 40-year practice as a labor and employment attorney has earned him national praise that includes 33 consecutive years of recognition in Best Lawyers in America® for labor and employment and top-tier rankings in Chambers USA for his "longstanding expertise in discrimination, harassment and retaliation disputes. One client enthuses: 'He's one of the best lawyers I've ever worked with. He does brilliant work really quickly and he does it well.'" (from Chambers USA 2017). Bill's ability to provide practical employment advice while remaining mindful of the cost/benefit considerations for the business has resulted in numerous long-term client relationships. Bill represents a wide variety of clients – including a number of Fortune 500 companies – from a broad scope of industries, including manufacturing, distribution, retail, education and healthcare. With a wealth of experience in both traditional labor matters and employment discrimination cases, Bill's practice involves:

  • Traditional Labor Matters – Union organizing, collective bargaining, unfair labor practices, and representation in connection with arbitration cases arising out of contract issues and disciplinary actions.
  • Employment Discrimination – Defending a broad range of employment discrimination cases brought under federal and state law, including tenure denial cases and student lawsuits.
  • Labor & Employment Law – Providing advice on day-to-day labor and employment law issues for both union and non-union clients; handling non-compete cases, both to enforce provisions and defend employers and their employees against their enforcement.

Bill has spent much of his career in service to Bass, Berry & Sims and the community. He is a former Chair of the Labor and Employment Practice Group and served as managing partner of the firm from 1987-1992. Bill is a Tennessee Rule 31 General Civil mediator.
