In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Lori Morgan's practice focuses on public equity and debt offerings for corporate issuers (including real estate investment trusts), formation and operation of joint ventures, and mergers and acquisitions of both public and private acquirors and targets. She also counsels clients on general corporate and securities matters, including corporate governance and public company disclosure. Lori's recent transactions include a public company REIT conversion transaction, a public company sale with an active go-shop process with multiple bidders and underwritten equity and debt offerings for both issuers and underwriters.

  • Real Estate Capital Markets – Advising clients on mergers and acquisitions, securities offerings and other real estate-related transactions.
  • Mergers and Acquisitions – Representing public and private company clients in a variety of acquisitions of public and private targets and dispositions.
  • Joint Ventures – Representing clients on joint ventures in the real estate, hospitality, healthcare and retail sectors. Her experience includes counseling on formation and ongoing operation of joint ventures in a variety of structures, as well as financings and restructurings for joint ventures.

Lori also serves on the firm's entry-level hiring committee.
