In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Andy represents public and private companies in mergers, acquisitions, dispositions, joint ventures and other strategic transactions. He also advises clients on corporate governance, SEC disclosure and other corporate and business matters. 

Andy's clients include publicly traded and privately held companies, including founder-owned and early growth stage companies, as well as venture backed companies and financial sponsors and their portfolio companies. 

Andy has significant experience counseling healthcare and life sciences companies, including hospice and home health providers, specialty pharmacies, hospitals and health systems, physician organizations and healthcare technology companies. He also works with clients in a number of other industries, including technology, telecommunications, retail and manufacturing.

  • Mergers, Acquisitions and Dispositions – Representing publicly traded and privately held clients in mergers, acquisitions, dispositions, joint ventures and other strategic transactions; representing founders, investors, financial sponsors and their portfolio companies in sales to strategic buyers as well as recapitalization, leveraged buyout and other similar transactions with private equity and other financial buyers.

  • Corporate Governance – Working with boards, directors, officers and other executives on corporate governance, disclosure and other general corporate and business matters.

  • Capital Formation – Advising clients in connection with capital markets and corporate finance transactions, including the public offering of debt and equity securities, private placements and venture capital and private equity financings.
