On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Andy represents public and private companies in mergers, acquisitions, dispositions, joint ventures and other strategic transactions. He also advises clients on corporate governance, SEC disclosure and other corporate and business matters. 

Andy's clients include publicly traded and privately held companies, including founder-owned and early growth stage companies, as well as venture backed companies and financial sponsors and their portfolio companies. 

Andy has significant experience counseling healthcare and life sciences companies, including hospice and home health providers, specialty pharmacies, hospitals and health systems, physician organizations and healthcare technology companies. He also works with clients in a number of other industries, including technology, telecommunications, retail and manufacturing.

  • Mergers, Acquisitions and Dispositions – Representing publicly traded and privately held clients in mergers, acquisitions, dispositions, joint ventures and other strategic transactions; representing founders, investors, financial sponsors and their portfolio companies in sales to strategic buyers as well as recapitalization, leveraged buyout and other similar transactions with private equity and other financial buyers.

  • Corporate Governance – Working with boards, directors, officers and other executives on corporate governance, disclosure and other general corporate and business matters.

  • Capital Formation – Advising clients in connection with capital markets and corporate finance transactions, including the public offering of debt and equity securities, private placements and venture capital and private equity financings.
