Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Mike Kuffner focuses his practice on advising clients on transactional, corporate governance and securities law matters. He represents public and private companies and management teams across a number of industries including healthcare, food and technology.

Mike's practice involves assisting on matters related to:

  • Mergers and acquisitions
  • Corporate governance
  • Compliance with securities laws and public company disclosure
  • Capital markets transactions, including initial public offerings, follow-on offerings and shelf takedowns of various types of debt and equity securities
  • Early, seed and follow-on venture capital financing transactions

Mike served as first chair associate on a complex, multi-million dollar acquisition that resulted in recognition by M&A Advisor for the "M&A Deal of the Year (between $50 million and $100 million)" in 2012.
